These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nu Wav Media LLC ("Company," "we," "us," or "our"), the owner and operator of Soniq, an AI-assisted songwriting and music publishing platform ("Service").
By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. Your continued use of the Service following any updates to these Terms constitutes your acceptance of the revised Terms.
Soniq is an AI-powered songwriting platform that assists users in composing song lyrics, melodies, and related creative content. The Service also offers optional music publishing administration features, enabling users to register compositions, manage royalties, and access sync licensing opportunities through Nu Wav Media LLC.

We reserve the right to refuse service, suspend accounts, or remove content at our sole discretion, particularly if account information is found to be false or misleading.
Writer's Share and Authorship. You, the user, retain 100% of the songwriter's (writer's) share of all compositions you create using the Soniq platform. The AI tools within Soniq are creative instruments — similar to a word processor or instrument — and do not constitute co-authors. Soniq, Nu Wav Media LLC, and the underlying AI technology do not claim authorship, copyright, or any ownership interest in the writer's share of compositions you generate.
Genre DNA Publishing License. SONIQ's proprietary Genre Bible, Genre DNA framework, structural song templates, chord theory systems, and related creative infrastructure ("Genre DNA IP") are the exclusive intellectual property of Nu Wav Media LLC. These systems form an integral creative contribution to every song generated on the platform. In consideration of your use of the Genre DNA IP, Nu Wav Media LLC is automatically granted a publishing share of performance royalties on all compositions generated using the Service, at the rate determined by your subscription tier as set forth below:

The publisher's share applies solely to the publishing portion of performance royalties collected through your Performing Rights Organization (PRO) — it does not affect your writer's share, master recording rights, sync licensing fees, merchandise, or any other revenue stream. By using the Service, you acknowledge this publishing license and agree to register compositions accordingly. The Nu Wav Media LLC publishing interest is attributed to:
Studio subscribers may distribute songs commercially without the publishing split. For all other tiers, commercial distribution of a SONIQ-generated composition without registering the Nu Wav Media LLC publishing interest constitutes a breach of these Terms.
Platform Content. All platform software, interface design, branding, documentation, and proprietary technology — including the Genre Bible and Genre DNA systems — are owned by Nu Wav Media LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of the platform itself without our written permission.
Feedback. If you submit suggestions, ideas, or feedback about the Service, you grant us a perpetual, royalty-free license to use such feedback for any purpose without obligation to you.
Soniq offers optional music publishing administration services through Nu Wav Media LLC. These services are entirely optional and are not required to use the core songwriting features of the platform.
Publishing services include registration of your compositions with your Performing Rights Organization (PRO), administration of royalty collection, and sync licensing pitching (on eligible tiers). Enrollment in publishing services requires:
Once a composition is registered, the applicable Co-Publishing Agreement governs the relationship between you and Nu Wav Media LLC for that composition. Please review that agreement carefully before opting in.
You agree that you will not use the Service to:
Violation of these prohibitions may result in immediate account suspension and, where applicable, reporting to relevant legal authorities.

Subscription fees are billed in advance on a monthly or annual basis. By providing payment information, you authorize us (via our payment processor, Stripe) to charge the applicable fees.
Refund Policy. Refunds may be requested within 7 days of the initial subscription charge by contacting legal@nuwavmedia.com. After 7 days, subscription fees are non-refundable. We do not issue prorated refunds for partial billing periods. Downgrading your plan takes effect at the end of the current billing cycle.
We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
Disclaimer of Warranties. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS.
We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, or error-free; (c) AI-generated content will be free from third-party intellectual property claims; or (d) any errors in the Service will be corrected.
Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NU WAV MEDIA LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF ROYALTIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
You may terminate your account at any time by accessing Settings > Delete Account within the platform, or by contacting us at legal@nuwavmedia.com.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or engaged in activity harmful to other users, third parties, or the Service.
Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account data in accordance with our Privacy Policy; (c) any active publishing agreements remain in effect according to their own terms unless otherwise addressed.
Sections 4, 6, 8, 10, and 11 survive termination of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any dispute arising out of or related to these Terms or the Service shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
You agree to indemnify, defend, and hold harmless Nu Wav Media LLC, its members, managers, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.
Nu Wav Media LLC respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Service infringes your copyright, please send a written notice to our designated DMCA agent containing:

Counter-Notice. If you believe your content was removed in error, you may submit a counter-notice with the same contact information, identification of removed material, a statement under penalty of perjury that removal was a mistake, and your consent to jurisdiction in the federal district court for your location.
We may terminate accounts of users who are repeat infringers.
SONIQ uses artificial intelligence systems, including large language models, to assist in generating song lyrics, chord progressions, production briefs, and related creative content. By using the Service, you acknowledge and agree that:

Repeated failure to register the Nu Wav Media LLC publishing interest may result in account suspension and/or legal action to recover unpaid royalties. Studio subscribers are exempt from this section.
By generating or submitting content through the Service, you grant Nu Wav Media LLC a limited, non-exclusive, royalty-free, worldwide license to store, display, and process your content solely for the purposes of operating and improving the Service. This license does not grant us the right to sell, license, or commercially exploit your compositions outside the publishing arrangements described in Section 4.
We may use anonymized, aggregated data about usage patterns and song generation activity to improve our AI systems and Genre DNA frameworks. This data will not identify you personally or expose your specific song content.
The Service integrates with or relies upon third-party services including Stripe (payment processing), Supabase (data storage), and AI model providers. Your use of these third-party services is subject to their respective terms of service and privacy policies. Nu Wav Media LLC is not responsible for the practices of any third-party service providers.
Links to third-party websites or services within the platform do not constitute our endorsement of those services. We have no control over and assume no responsibility for the content or practices of any third-party sites.
Entire Agreement. These Terms, together with the Privacy Policy and Co-Publishing Agreement (where applicable), constitute the entire agreement between you and Nu Wav Media LLC regarding the Service and supersede all prior agreements, representations, or understandings.
Severability. If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Nu Wav Media LLC.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
Force Majeure. Nu Wav Media LLC shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, pandemics, government actions, internet outages, or third-party service failures.
Electronic Communications. By using the Service, you consent to receive communications from us electronically, including by email and in-app notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Updates to Terms. We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or prominent in-app notice. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms.
